Terms and Conditions of Service

1. Acceptance
These Terms are a binding agreement between you («User», «you») and the operator of LÜM («LÜM», «we») in the Republic of Panama. Acceptance occurs by using the website, app, WhatsApp, Telegram, receipt email, earning or redeeming Lümis, or any act showing consent. Receipt/WhatsApp processing also requires the Data Consent Annex.
2. Definitions
Service: loyalty program and technology platform. Lümis: virtual reward points with no direct cash value. User Content: receipts, messages, and materials you submit.
3. Description and availability
LÜM lets users register purchases, earn Lümis, access spending analytics, receive offers, and redeem benefits with partner merchants, primarily in Panama. The Service is provided «as is» and «as available». We may modify or discontinue features without liability except as mandatory law requires.
LÜM is not a bank, e-money issuer, insurer, or financial/tax adviser unless expressly licensed otherwise.
4. Eligibility and account
You must be 18+ and legally able to contract. You provide accurate information and keep credentials secure. Activity under your account is presumed yours unless you promptly report unauthorized use to soporte@lumapp.org.
5. Lümis and benefits
LÜMIS ARE PROMOTIONAL VIRTUAL POINTS WITH NO DIRECT MONETARY VALUE, NOT CURRENCY, DEPOSITS, OR SECURITIES. THEY ARE NON-REDEEMABLE FOR CASH UNLESS A SPECIFIC WRITTEN PROMOTION STATES OTHERWISE. RULES, RATES, CATALOGS, AND EXPIRATION MAY CHANGE AT ANY TIME. ERRORS IN CREDITING (INCLUDING AUTOMATED/OCR ERRORS) MAY BE CORRECTED, INCLUDING REVERSAL OF LÜMIS. YOU ARE RESPONSIBLE FOR ANY TAXES ON BENEFITS IF APPLICABLE.
5.5. Waiver of claims and release of LÜM
You acknowledge that you use the Service at your sole risk. To the maximum extent permitted by the laws of the Republic of Panama:
- Lümis and benefits are revocable promotional grants with no commercial, monetary, exchange or patrimonial value of any kind.
- You irrevocably waive any right to bring or participate in claims, lawsuits, class actions or proceedings of any kind against LÜM, its partners, directors, employees, agents, affiliates and suppliers arising from use of the Service, Lümis, benefits, system errors, OCR/AI, data loss, consumption decisions or third-party conduct.
- You release and discharge LÜM from all civil, contractual, tort, administrative or other liability, known or unknown, present or future, relating to the Service or Lümis, except non-waivable mandatory rights.
YOU ACCEPT THAT THERE IS NO EXPECTATION OF MONETARY COMPENSATION FOR LOSS, NON-CREDITING, EXPIRATION OR CANCELLATION OF LÜMIS OR BENEFITS.
6. Receipts, AI, and user content
Processing receipts via WhatsApp, facturas@lumapp.org or the app requires explicit consent under Law 81 in addition to these Terms.
You are solely responsible for User Content and warrant lawful submission. Processing may use OCR/AI; accuracy is not guaranteed. You grant LÜM a worldwide, non-exclusive, royalty-free license to use Content to operate, improve, secure, and promote the Service and enforce these Terms.
7. Prohibited conduct
Prohibited: fake or duplicate receipts; unauthorized automation; fraud; unauthorized resale of benefits; malware; harassment; illegal use; impersonation. Violations may lead to suspension, forfeiture of Lümis, and legal action.
8. Merchants and third parties
Merchants are independent. Your purchase relationship is with the merchant. LÜM is not responsible for merchant goods, services, or conduct. WhatsApp, app stores, and other third parties have their own terms.
9. Intellectual property
LÜM brand, software, content, and Lümi character are protected. No copying or derivative works without written permission.
10. Privacy (Law 81)
Processing is governed by our Privacy Policy under Panama Law 81 of 2019.
11. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY PANAMANIAN LAW, LÜM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY. THE SERVICE IS PROVIDED STRICTLY «AS IS» AND «AS AVAILABLE».
Mandatory consumer rights under applicable Panamanian law prevail where they cannot be waived.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LÜM SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (I) AMOUNTS YOU PAID LÜM IN THE PRIOR TWELVE (12) MONTHS OR (II) USD 100. LÜM IS NOT LIABLE FOR MERCHANTS, OTHER USERS, TELECOM FAILURES, OR FORCE MAJEURE.
13. Indemnification
You will defend and indemnify LÜM and its affiliates against claims, losses, and expenses (including reasonable attorneys' fees) arising from your use, Content, breach of these Terms, violation of law, or fraud.
14. Suspension and termination
We may suspend or terminate access at any time. Upon termination, unused Lümis may be cancelled; surviving clauses remain in effect.
15. Changes
LÜM reserves the exclusive right to modify, update, or replace these Terms at any time, at its sole discretion, without prior notice or consent. The current version will be the one published on our official channels. The absence of direct notification does not invalidate or delay the effectiveness of the changes. Continued use of the Service after the publication of modifications shall constitute your absolute, irrevocable, and binding acceptance. If you do not agree with any modification, your sole and exclusive remedy is to immediately stop using the Service.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of Panama. Exclusive jurisdiction: ordinary courts of Panama, unless LÜM elects arbitration in Panama City under recognized rules. You waive class actions to the extent permitted.
17. General
Entire agreement; severability; no waiver by delay; you may not assign without consent; we may assign freely; force majeure; Spanish version prevails for Panama users (Términos); no financial/legal/tax advice.
